1. Introduction
Thinker Solutions (“we,” “us,” or “our”) provides business support services, including finance and accounting, tax and compliance, business operations, digital marketing, and people and HR, as applicable to the services agreed with each client.
This Payment Policy explains our general approach to service fees, advance payments, milestone-based billing, invoices, payment methods, refunds, and outstanding balances.
The specific commercial terms for each engagement will be stated in the accepted quotation, proposal, invoice, engagement letter, or written service agreement.
Where a signed or otherwise accepted engagement agreement specifies different payment terms, the applicable agreement will govern that engagement, subject to applicable law.
2. Service Fees and Quotations
Service fees are determined according to the nature, scope, complexity, duration, and delivery requirements of the agreed services.
Before work begins, Thinker Solutions will provide a quotation, proposal, or other written confirmation specifying the agreed services and applicable pricing arrangements.
The quotation or agreement should identify:
- The scope of services and deliverables.
- The total agreed fee and currency.
- The advance payment amount.
- Any progress or milestone payments.
- The final payment balance.
- Invoice due dates.
- Applicable taxes and separately agreed charges.
- Any relevant cancellation, refund, or change-of-scope terms.
Additional services or material changes outside the original scope may require a revised quotation or written approval before additional fees are incurred.
No additional fee will be treated as agreed merely because it appears in a general website policy.
3. Advance Payment Policy
For fixed-fee projects, Thinker Solutions generally requires an advance payment before commencing work, unless an alternative arrangement is expressly agreed in writing.
The advance payment confirms the client's acceptance of the agreed commercial arrangement and allows work to begin under the approved project schedule.
The required advance percentage and amount will be specified in the applicable quotation, invoice, or written agreement.
Unless a different schedule is agreed in writing, the proposed default payment structure for eligible fixed-fee projects is:
- 50% advance payment: Before work begins.
- 50% final payment: Upon completion of the agreed project scope, according to the final payment and handover terms.
These percentages are a proposed standard for Thinker Solutions, not a compulsory rate for every project or an assertion that all international businesses use the same arrangement.
The advance payment forms part of the total agreed service fee and will be credited against the amount payable for the engagement. It is not an additional charge on top of the agreed fee.
Work will normally commence after the required advance has been received and payment has been confirmed, unless another commencement arrangement has been agreed in writing.
4. Milestone-Based Progress Payments
For projects using milestone-based billing, the quotation or service agreement will specify the relevant milestones, payment amounts, deliverables, and due dates.
The default fixed-fee schedule is a 50% advance and a 50% final payment, with no separate progress payment. For larger or longer projects, a milestone schedule may be agreed in writing, and the quotation will then state each percentage and the milestone that triggers it. A milestone payment becomes due when the milestone specified in the agreement has been achieved.
The milestone may be defined by:
- Completion of an agreed project phase.
- Submission of specified deliverables.
- Completion of a defined portion of the agreed scope.
- Another objectively verifiable project milestone approved by both parties.
Milestones should be sufficiently specific for both parties to understand when the relevant payment becomes due.
The estimated percentage of overall project completion and the percentage payable are separate matters. A statement that a project is 70%, 80%, or another percentage complete does not automatically determine the amount payable unless that payment condition is expressly agreed.
Thinker Solutions will issue the relevant invoice once the applicable milestone has been reached. Payment is due according to the deadline stated on the invoice or in the applicable agreement.
5. Final Payment and Completion
Upon completing the agreed project scope, Thinker Solutions will issue the final invoice for the outstanding balance.
Under the proposed default fixed-fee schedule, the final payment is the remaining 50% of the total agreed fee, adjusted for any approved changes, payments already received, applicable taxes, credits, or other expressly agreed amounts.
The final invoice should identify the outstanding amount and its due date.
Delivery of final files, reports, documentation, access credentials, or other agreed deliverables will follow the handover conditions established in the service agreement and applicable law.
Where acceptance testing, client review, or correction periods apply, these must be defined in the agreement before the project begins.
Nothing in this policy creates an unconditional right to withhold deliverables or retain a payment contrary to the applicable agreement or law.
6. Payment Structure for Different Service Types
Not all business services require the same billing schedule.
6.1 Fixed-fee projects
The proposed default is a 50% advance and a 50% final payment on completion. A milestone-based schedule can be agreed in writing for larger or longer projects.
An alternative schedule may be agreed where appropriate to the project's size, duration, risk, delivery requirements, or client circumstances.
6.2 Ongoing bookkeeping and accounting services
For recurring services, including ongoing bookkeeping, accounting support, and other continuing engagements, fees may be charged monthly or on another agreed periodic basis.
Where monthly advance billing applies, the invoice will specify the covered service period and payment due date. Services normally commence or continue according to the agreed payment arrangement.
The agreement should state the services included, billing frequency, treatment of additional work, and arrangements for renewal or termination.
6.3 Consulting and time-based advisory services
For hourly, consulting, or time-based work, the parties may agree to an advance retainer, periodic invoices, or another suitable payment structure.
The agreement should specify the applicable rate, scope, invoicing frequency, treatment of unused retainer balances, and any approved expenses.
6.4 Short or one-time services
For short engagements, assessments, or other one-time services, payment normally follows the same 50/50 schedule: 50% before work begins and 50% on completion, unless a different arrangement is agreed in writing before the work starts.
The applicable schedule must be stated in the accepted quotation or agreement.
7. Invoices and Payment Due Dates
Thinker Solutions will issue invoices according to the agreed billing schedule.
Each invoice should identify, as applicable:
- The invoice number and issue date.
- The client's relevant billing information.
- The services or milestones covered.
- The amount due and payment currency.
- Any applicable taxes or separately agreed charges.
- The payment due date.
- The verified payment method and instructions.
Unless another period is specified in the accepted quotation or agreement, invoices are payable within 15 calendar days of the invoice date.
Advance payments remain subject to the commencement conditions specified in Section 3.
Clients should contact Thinker Solutions promptly if an invoice contains an apparent error or requires clarification.
8. Accepted Payment Methods
Payment must be made using a method approved by Thinker Solutions and identified in the applicable invoice or written payment instructions.
Accepted methods will depend on the actual arrangements established for the engagement. They may include bank transfer or other verified payment methods where available and appropriately configured.
The availability of a particular payment method must be confirmed before the client attempts payment.
Clients should not rely on payment account details received through an unverified message or changed payment instructions without independent confirmation from Thinker Solutions.
The website must not claim that card payments, mobile-wallet payments, or an automated payment gateway are available unless the corresponding facility has been configured and tested.
9. Currency, Taxes, and Transaction Charges
The payment currency will be specified in the quotation, agreement, or invoice.
For international engagements, the parties should agree on the currency, the relevant invoice amount, and the treatment of applicable transaction charges before work begins.
Applicable taxes will be identified in accordance with the transaction and relevant legal requirements.
Bank charges, payment-provider fees, and foreign-exchange costs may apply depending on the payment method and the relevant institutions. Their allocation should be disclosed and agreed where applicable and permitted by law.
Thinker Solutions will not introduce an undisclosed additional charge merely through this general policy.
10. Payment Confirmation and Reconciliation
A payment will be treated as received when it has been successfully credited or otherwise confirmed through the applicable payment process.
Clients should retain their receipts, transaction references, and invoice details until payment has been reconciled.
Where a payment is delayed, duplicated, misdirected, or not reflected against an invoice, the client should contact Thinker Solutions with the relevant invoice reference and appropriate transaction evidence.
Thinker Solutions will review the available records and determine the appropriate reconciliation or correction.
Clients must never share passwords, PINs, one-time passwords, payment-card security codes, or other sensitive authentication credentials through the website contact form or ordinary email.
11. Late or Outstanding Payments
If a payment becomes overdue, Thinker Solutions may contact the client to clarify the position and request settlement of the outstanding invoice.
Any late-payment charge, interest, suspension of services, extension of the delivery schedule, or other remedy must be supported by the applicable written agreement and permitted by law.
Thinker Solutions will not impose an undisclosed penalty solely on the basis of this general policy.
Where overdue payment materially affects an engagement, the parties should communicate and agree on the appropriate next steps in accordance with their contractual obligations.
Clients who anticipate difficulty meeting a payment deadline are encouraged to contact Thinker Solutions promptly.
12. Changes to the Agreed Scope
Requests for additional services, changed deliverables, or significant modifications to the original project may affect the agreed fees and delivery schedule.
Thinker Solutions may issue a revised quotation or written change request describing the proposed adjustments.
Any resulting additional charge or change to the payment schedule must be agreed in writing before the additional work proceeds, except where the existing agreement or applicable law provides otherwise.
13. Cancellation and Termination
Cancellation and termination arrangements will be governed by the applicable service agreement and relevant law.
Where an engagement is cancelled or terminated, the parties should reconcile:
- Payments already received.
- Services completed or work performed.
- Approved expenses and outstanding obligations.
- Any applicable cancellation terms or agreed charges.
- Amounts refundable or payable under the agreement and applicable law.
Where appropriate, Thinker Solutions will provide a summary of the account and the resulting balance.
Neither party should assume that every advance payment is automatically refundable or automatically non-refundable. The treatment of advance payments will depend on the agreed terms, work performed, circumstances of cancellation, and applicable law.
14. Refunds and Payment Adjustments
Refunds, credits, duplicated payments, and other billing adjustments will be reviewed according to the relevant agreement, the payment records, and applicable legal requirements.
Where a refund is approved, Thinker Solutions will confirm the amount and arrange the refund through an appropriate payment method, subject to the applicable payment process.
The expected processing time may depend on the payment provider or financial institution. A specific processing period should not be promised unless it can be reasonably supported.
Any non-refundable deposit, cancellation charge, or deduction must be clearly disclosed, appropriately agreed, and permitted by applicable law.
Nothing in this policy removes any rights or remedies that applicable law requires to remain available.
15. Payment Disputes and Invoice Queries
Clients who dispute an invoice or have concerns about a payment should notify Thinker Solutions in writing.
The notification should include the invoice reference, the amount concerned, and an explanation of the issue.
Thinker Solutions will review relevant records and communicate with the client to seek a reasonable resolution in accordance with the applicable agreement and law.
Any undisputed portion of an invoice remains subject to the agreed payment terms, subject to the applicable agreement and legal requirements.
16. Payment Security
Clients should use only verified payment instructions provided by Thinker Solutions.
Where an online payment service is offered, it must be appropriately configured and tested. A displayed button, transaction reference, or website message must not be treated as proof of successful payment without appropriate verification.
Thinker Solutions will take reasonable measures to protect payment-related business records.
The website's general enquiry form must not collect or request sensitive payment authentication credentials. Card information, where relevant, should be processed through an appropriately selected and configured payment provider rather than stored directly by the website without an approved and compliant arrangement.
17. Separate Service Agreements
This Payment Policy provides general information about Thinker Solutions' proposed payment practices.
The quotation, accepted proposal, engagement letter, invoice, or written service agreement applicable to the engagement specifies the actual commercial terms.
Where the applicable agreement expressly establishes different payment milestones, advance amounts, invoice deadlines, currency arrangements, cancellation terms, or other payment requirements, those terms will govern to the extent permitted by law.
No client is automatically required to accept an advance percentage or milestone payment that was not disclosed and agreed as part of the relevant engagement.
18. Changes to This Policy
Thinker Solutions may update this Payment Policy when its business arrangements or payment procedures change.
The current version should display its effective date and latest revision date.
A general website update will not, by itself, silently amend payment terms already agreed under an existing engagement. Changes will be handled in accordance with the applicable agreement and law.
19. Governing Law
Payment arrangements and service agreements will be interpreted and enforced in accordance with the law applicable to the relevant engagement.
For engagements governed by the laws of Bangladesh, the applicable provisions of Bangladeshi law will apply.
For international engagements, the governing law and dispute-resolution arrangements should be stated in the relevant written agreement and reviewed for suitability to the transaction and jurisdictions concerned.
Nothing in this policy excludes a legal right or remedy that cannot lawfully be excluded.
